These Terms of Service and Legal Policies (“Terms”) govern the use of the 99 North Media online video editing platform operated by 99 North Media, Inc. and related services (the “Service”).
By accessing, registering for, or using the Service, you agree to be legally bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

However, by uploading content you grant 99 North Media, Inc. a worldwide, non-exclusive, royalty-free license to store, process, encode, render, transmit, and display the content solely for purposes of providing the Service.

Users are solely responsible for content uploaded or processed through the Service. You represent and warrant that:

The Service is provided on an “AS IS” and “AS AVAILABLE” basis. 99 North Media, Inc. does not guarantee uninterrupted service and is not responsible for outages caused by infrastructure failures, third-party services, maintenance, or technical errors.
Collected information may be used to operate the Service, process rendering jobs, improve system performance, detect abuse, and comply with legal requirements.
99 North Media, Inc. does not sell user data. Data may be shared only with infrastructure providers, payment processors, analytics services, and law enforcement when legally required.
Reasonable safeguards are implemented including encrypted data transmission, access control, and authentication protections. No system is completely secure and users upload content at their own risk.
99 North Media, Inc. respects intellectual property rights. If you believe copyrighted content has been uploaded without permission, submit a DMCA takedown notice containing:

Repeat infringers may have their accounts terminated. Users may submit counter-notifications if they believe content was removed in error.
99 North Media, Inc. reserves the right to remove or restrict content that violates policies or laws, including copyright infringement, illegal activity, harassment or threats, child exploitation material, non-consensual intimate imagery, malware, hate speech, or violent extremism.
Moderation actions may include account suspension or termination.
Some features of the Service may use artificial intelligence or automated systems. AI-generated outputs may contain inaccuracies or errors. Users are responsible for reviewing generated media before use. 99 North Media, Inc. does not guarantee the legality, accuracy, or suitability of AI-generated outputs.
The Service offers a shared collection of media that all users may draw from. By generating media through the Service, you grant 99 North Media, Inc. a worldwide, non-exclusive, royalty-free licence to include that generated media in the shared collection and to make it available to other users of the Service.
This licence applies only to media you generate through the Service. It does not apply to anything you upload, to your projects, or to anything you create outside the AI generation features.
You keep ownership of everything you generate. Nothing here transfers ownership, and nothing here prevents you from using your own generated media however you wish.
No generated media is added to the shared collection automatically. Each item is reviewed and selected by 99 North Media, Inc. before it appears there, and we may decline or remove any item at any time.
You may withdraw this permission for any item, or for all of your generated media, by contacting us. On withdrawal we will remove the item from the shared collection. Copies other users have already taken remain theirs, because a copy taken from the collection becomes that user's own file and is no longer linked to yours.
The words you type to generate media are never published. Only the generated media itself is offered in the shared collection, described in wording written by 99 North Media, Inc.
Users must comply with all applicable export control laws. Users may not use the Service if they are located in sanctioned countries or listed on government denied party lists. The Service may not be used for activities related to restricted weapons or sanctioned entities.
99 North Media, Inc. operates as a technology platform that hosts user-generated content. We do not actively monitor all content uploaded by users. To the maximum extent permitted by law, 99 North Media, Inc. qualifies for safe harbor protections under applicable intermediary liability laws. Users are solely responsible for their uploaded content.
99 North Media, Inc. acts solely as a software service provider. The platform does not endorse or verify user-generated content. To the maximum extent permitted by law, 99 North Media, Inc. shall not be liable for user-generated content, copyright disputes between users, misuse of generated media, or business losses resulting from use of the Service.
To the fullest extent permitted by law, 99 North Media, Inc. shall not be liable for indirect damages, lost profits, loss of data, service interruptions, user disputes, or copyright claims related to uploaded content.
Maximum liability shall not exceed the greater of the amount paid for the Service in the past 12 months, or $100 USD.
Users agree to defend, indemnify, and hold harmless 99 North Media, Inc. and its owners, employees, and partners from claims arising from uploaded content, misuse of the Service, violation of these Terms, or infringement of third-party rights.
Any dispute arising from these Terms shall be resolved through binding arbitration rather than court litigation, except where prohibited by law. Users agree to waive the right to participate in class action lawsuits or collective arbitration. Disputes shall be resolved individually.
These Terms shall be governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law principles. Any legal proceedings must occur within that jurisdiction. 99 North Media, Inc. may suspend or terminate accounts if users violate these Terms, create legal risk, or abuse the platform. Upon termination, access to the Service ends and stored content may be deleted.
99 North Media, Inc. may update these Terms at any time. Continued use of the Service after changes constitutes acceptance of updated Terms.

The 99 North Media Service operates on shared cloud infrastructure and computational resources. To maintain fair usage and system stability, 99 North Media, Inc. reserves the right to implement technical limits including, but not limited to:
Users may not intentionally attempt to bypass or circumvent these limits. Activities considered abuse include:
99 North Media, Inc. may throttle, suspend, or terminate accounts that exceed reasonable usage limits.
The Service relies on cloud infrastructure and computational resources which incur operational costs. If a user intentionally or negligently causes excessive resource consumption, including but not limited to:
99 North Media, Inc. reserves the right to suspend the offending account, limit resource access, or charge the user for the excess infrastructure costs incurred.
Users agree that they may be held responsible for reasonable infrastructure costs resulting from misuse of the Service.
Rendering and media processing systems are shared among users. To ensure fair access, users agree not to:
99 North Media, Inc. reserves the right to queue, delay, prioritize, or cancel processing jobs to maintain system performance. No guarantees are made regarding rendering speed or job completion times.
If the Service provides API endpoints, integrations, or automation capabilities, users agree that they will not:
Unauthorized automated access may result in account termination and legal action.
These restrictions do not apply to third-party components distributed under open-source licenses, including those bundled with the desktop application. Rights granted by those licenses — including any right to study, modify, or redistribute those components — are unaffected by these Terms. See Section 35.
Users acknowledge that acceptance of these Terms occurs electronically. By selecting “Agree and Continue”, users consent to:
99 North Media, Inc. may maintain records including user ID, timestamp of acceptance, IP address, and Terms version accepted. These records constitute proof of agreement.
These Terms, along with the Privacy Policy, Acceptable Use Policy, and related legal policies, constitute the entire agreement between the user and 99 North Media, Inc. regarding the use of the Service. They supersede all prior agreements, communications, or understandings relating to the platform.
The 99 North Media platform may utilize automated systems, artificial intelligence, or machine learning technologies to operate, improve, and maintain the Service.
Unless explicitly stated otherwise in writing by 99 North Media, Inc., user-uploaded content is not used to train generalized artificial intelligence or machine learning models intended for public or commercial deployment outside the operation of the Service.
User content may be processed by automated systems solely for purposes including:
Users acknowledge that certain automated processing may involve temporary computational analysis of uploaded content.
Except where expressly authorized by the user or required to operate the Service, 99 North Media, Inc. does not claim ownership of user content and does not use such content to train external or generalized AI models.
Users further acknowledge and agree that:
To the maximum extent permitted by law, users waive any claim that automated processing performed by the Service constitutes unauthorized training, copying, or exploitation of user media.
The Service is provided as a general-purpose software platform for video editing and media processing. Nothing provided through the Service constitutes:
Users agree not to rely on the Service for decisions involving legal, financial, medical, engineering, or safety-critical outcomes.
99 North Media, Inc. shall not be liable for any damages resulting from reliance on outputs generated through the Service.
From time to time, 99 North Media, Inc. may offer experimental or beta features. Beta features:
Beta features are provided “as-is” without warranties of any kind. Users assume all risks associated with using beta features.
99 North Media, Inc. shall not be liable for any failure or delay in performance caused by circumstances beyond reasonable control, including but not limited to:
During such events, service availability may be temporarily interrupted.
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified or interpreted to the maximum extent permitted by law to reflect the original intent.
99 North Media, Inc. makes downloadable desktop software available to account holders, including the Offline Cut & Trim application. This Section governs that software. Where this Section conflicts with another provision of these Terms, this Section controls as to the desktop software.
Subject to your compliance with these Terms, 99 North Media, Inc. grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to download and install the desktop software on devices you own or control, and to use it in connection with your account and the Service. The software is licensed to you, not sold.
These restrictions apply to the application itself. They do not apply to third-party open-source components bundled with it, which are governed solely by their own licenses.
The desktop software includes third-party components distributed under open-source licenses, including components of the FFmpeg project licensed under the GNU General Public License, version 3. Those components are governed by their own licenses and not by these Terms, and nothing in these Terms limits, restricts, or conditions any right those licenses grant you.
The applicable license texts are included with the download and can be read in the application under Licenses. The corresponding source code for those components is made available by 99 North Media, Inc. from the same location as the software itself.
The desktop software interoperates with the Service, and older versions may be incompatible with it, insecure, or defective. 99 North Media, Inc. may require that you run a current version in order to use the software with the Service, and may cause versions that are no longer supported to stop operating. Where that occurs, a current version will be made available to you at no additional charge for as long as your account remains active.
This applies to the application as distributed by 99 North Media, Inc. It does not restrict your rights in the open-source components described above.
The desktop software reads media from locations you choose on your own devices and writes only to its own application data directory and to locations you explicitly select. You remain responsible for maintaining your own copies of source media. Sections 15 through 18 apply to the desktop software as they do to the Service.
99 North Media, Inc. and its licensors retain all right, title, and interest in the desktop software, excluding third-party components which remain the property of their respective owners under their own licenses. No rights are granted other than those expressly stated in this Section.
This license terminates automatically when your account is terminated or closed, or if you breach this Section. On termination you must stop using the desktop software and remove it from your devices. Your rights in the bundled open-source components survive termination, because those rights come from their licenses rather than from these Terms.
